Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Shinnpad (the “Service”), operated by Hollon Productions LLC (“Shinnpad,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Who can use Shinnpad

You must be at least 18 years old and able to form a binding contract to create an account. Shinnpad is a tool for independent music teachers and studios to manage their own businesses. You are responsible for everything that happens under your account, including keeping your password secure.

2. Your account and your data

You retain ownership of the information you put into Shinnpad — your students, families, lessons, payments, and bookkeeping records (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to provide and improve the Service. You are responsible for the accuracy of Your Content and for having the right to enter any information about third parties (such as your students and their families). You can export your data at any time, and we will not sell it. See our Privacy Policy for how we handle it.

3. Plans, billing, and cancellation

Shinnpad offers a free plan and paid subscription plans (“Studio Pro” and “Studio Max”). Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

  • Cancel anytime. You may cancel from your billing settings. When you cancel, your paid features remain active through the end of the period you have already paid for, and you will not be charged again.
  • Renewals. Subscriptions renew automatically at the then-current price for your plan unless you cancel before the renewal date.
  • Refunds. Except where required by law, payments are non-refundable. We do not provide refunds or credits for partial periods.
  • Price changes. We may change our prices; if we do, we will give you reasonable notice, and changes take effect on your next renewal.
  • Downgrades. If you downgrade or your subscription lapses, features above your current plan (including any student limits) will no longer be available, though your underlying data is preserved.

4. Payments between you and your families

Shinnpad lets you collect payments from your students’ families using Stripe and Stripe Connect. Those payments flow into your own connected Stripe account and bank, not ours. When you use this feature you also agree to the Stripe Connected Account Agreement. Shinnpad is not a party to the transaction between you and a family, is not a bank or money transmitter, and is not responsible for chargebacks, disputes, refunds, or taxes arising from those payments. Standard Stripe processing fees apply.

5. Bookkeeping & tax features are not tax or legal advice

Shinnpad’s bookkeeping and tax tools — including mileage, expenses, home-office calculations, quarterly-tax reminders, and the year-end Schedule C summary — are provided to help you prepare your records. They are informational only, are not tax, accounting, or legal advice, and Shinnpad does not file taxes on your behalf. You are responsible for the accuracy of your records and your tax filings. Consult a qualified professional before making decisions based on these figures.

6. Acceptable use

You agree not to:

  • use the Service for anything unlawful or fraudulent;
  • upload content you don’t have the right to use, or that infringes someone else’s rights;
  • attempt to access other studios’ data, probe or breach our security, or disrupt the Service;
  • resell, sublicense, or reverse-engineer the Service except as allowed by law.

We may suspend or terminate accounts that violate these Terms.

7. Availability and changes

We work hard to keep Shinnpad running, but we provide the Service “as is” and do not guarantee it will always be uninterrupted or error-free. We may add, change, or remove features over time. We may also update these Terms; if we make material changes we will notify you, and continued use after changes take effect means you accept the updated Terms.

8. Disclaimers and limitation of liability

To the fullest extent permitted by law, Shinnpad and Hollon Productions LLC disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We are not liable for any indirect, incidental, special, or consequential damages, or for any lost profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose (or, if you are on the free plan, US $100).

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or fail to pay. On termination, your right to use the Service ends; you may export your data first, and we may delete it after a reasonable period.

10. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Texas will have exclusive jurisdiction over any dispute arising from these Terms or the Service.
